標準銷售條款及條件 / Standard Terms and Conditions of Sale

客戶明確放棄其本身的標準條款及條件，即使該等條款是於本標準銷售條款及條件制定後才擬定。任何例外、免責、減損權利的條款，必須事先獲各方以書面形式明確同意，才可生效。
The client expressly waives its own standard terms and conditions, even if these were drawn up after these standard terms and conditions of sale. Any exceptions, disclaimers, or clauses that limit rights must be explicitly agreed upon in writing by all parties in advance to take effect.
我們的發票須於 21 個工作天內付清，除非發票或訂單上另有指定付款期限。如逾期未付，皓博科技股份有限公司（Harbor Technology Solutions Co., Ltd.）保留權利就未付款項收取 10% 的固定利息。如發生逾期付款，皓博科技股份有限公司有權在不事先警告的情況下暫停提供任何服務。
Our invoices are payable within 21 working days, unless another payment timeframe is indicated on either the invoice or the order. In the event of non-payment by the due date, Harbor Technology Solutions Co., Ltd. reserves the right to request a fixed interest payment amounting to 10% of the sum remaining due. Harbor Technology Solutions Co., Ltd. will be authorized to suspend any provision of services without prior warning in the event of late payment.
若付款逾期超過六十（60）天，皓博科技股份有限公司保留委託債務追收公司處理的權利。所有相關法律費用均由客戶承擔。
If a payment is still outstanding more than sixty (60) days after the due payment date, Harbor Technology Solutions Co., Ltd. reserves the right to call on the services of a debt recovery company. All legal expenses will be payable by the client.
部分國家依其國內法規，對發票金額課徵預扣稅。任何預扣稅款均應由客戶直接向稅務機關繳納。皓博科技股份有限公司在任何情況下均不承擔與各國法規相關的費用。因此，發票全額應支付予皓博科技股份有限公司，且不包含任何與客戶所在國法規相關的費用。Certain countries apply withholding at source on the amount of invoices, in accordance with their internal legislation. Any withholding at source will be paid by the client to the tax authorities. Under no circumstances can Harbor Technology Solutions Co., Ltd. become involved in costs related to a country's legislation. The amount of the invoice will therefore be due to Harbor Technology Solutions Co., Ltd. in its entirety and does not include any costs relating to the legislation of the country in which the client is located.
皓博科技股份有限公司承諾盡力於約定期限內提供高效服務，惟其所有義務均為盡力義務，而非結果保證義務。皓博科技股份有限公司在任何情況下，均不得因終端消費者對客戶提出損害賠償申請，而被要求以第三方身份介入。
Harbor Technology Solutions Co., Ltd. undertakes to do its best to supply performant services in due time in accordance with the agreed timeframes. However, none of its obligations can be considered as being an obligation to achieve results. Harbor Technology Solutions Co., Ltd. cannot under any circumstances, be required by the client to appear as a third party in the context of any claim for damages filed against the client by an end consumer.
如欲提出索賠，客戶須於收到貨物或服務提供完成後 8 天內，以掛號信方式寄送至皓博科技股份有限公司之登記辦公地址，方為有效。
In order for it to be admissible, Harbor Technology Solutions Co., Ltd. must be notified of any claim by means of a letter sent by recorded delivery to its registered office within 8 days of the delivery of the goods or the provision of the services.
我們所有的合約關係及契約，均完全及只受中華民國（台灣）法律管轄。
All of our contractual relationships and agreements shall be governed exclusively and entirely by the laws of the Republic of China (Taiwan).
